An accredited investor is defined as an individual that has made $200,000 or more, or joint income with their spouse exceeding $300,000, on an annual basis for the past two years and is likely to make the same amount in the current year, or has a net worth of more than $1,000,000 with or without a spouse. 

A non-accredited investor is simply everyone else--an investor who does not meet the income or net worth requirements for an accredited investor.
